Company Secretary

Reports to: Senior Manager- Financial Services

Main purpose of the job;
This role is primarily responsible for ensuring sound corporate governance practice, to be the repository of governance knowledge and advice as well as compliance to financial and legal standards and to be the source of the company’s conscience ensuring corporate integrity takes precedence over short term gain and personal benefit.

Requirements

Key Performance Areas:

1. Serve as a central source of guidance and advice of ethics and governance
2. Ensures that the company complies with all applicable codes as well as its legal and statutory requirements.
3. Provide company secretarial support to the Board of directors, DTCB Executive Committee, Tender Board and the company
4. Provide shareholder communication
5. Staff training, development and effectiveness
6. Developing management objectives and operational schedules

Education: Qualification or certification either as:

• an Auditor
• a member of Botswana Institute of Accountants
• a member of Southern African Institute of Chartered Secretaries and Administrators
• a legal practitioner, or
• a member of a professional association of company secretaries.

Experience: Minimum of 5 years at a senior management position (1st or 2nd level of functional management) responsible for a diverse range of service delivery areas. This will include knowledge of secretarial functions with detailed understanding of corporate governance and ethical issues to provide the DTCB Executive Committee with the necessary guidance
