The Botswana Stock Exchange (BSE) wishes to recruit a dynamic professional to join the Corporate Affairs Department and help contribute to the development of Botswana’s capital market.
LEGAL AND CORPORATE AFFAIRS MANAGER
Reporting to the Chief Executive Officer, the core responsibilities of the job shall include among others, to provide legal advice and board secretarial services to the Exchange, Main Committee and constituent sub committees and monitor adherence to international standards of Corporate Governance in order to protect investors and the integrity of the BSE.
Requirements
DUTIES & RESPONSIBILITIES OF THE POSITION WILL INCLUDE THE FOLLOWING:
- Drafting rules of the Exchange (e.g. Listings Requirements, Member Rules, CSD Rules, etc.).
- Reviewing membership applications by brokers, custodian banks and market makers and recommends same for approval
- Reviewing legislation and making recommendations for the adoption of regulations, rules, processes and procedures.
- Ensuring legal and regulatory compliance by the BSE and CSDB.
- Preparation of periodic reports for submission to NBFIRA,FIA and Bank of Botswana
- Monitors Members of the BSE, Listed Companies and Participants of CSDB to ensure compliance with the Rules of the Exchange
- Enforces the decision of the Disciplinary Sub-Committee
- Preparation of draft contracts, documents and service level agreements relating to the Exchange, and provides briefings for counsel and specialized attorneys.
- Advises the Main Committee and sub-Committees on the application of the Board Charter.
- Manages and coordinates provision of corporate secretarial services to the Board and its constituent committees and ensures compliance with the provisions of the Act
- Undertakes other such duties as directed by the Chief Executive Officer.

The successful candidate should have a Masters in Law preferably specializing in Corporate Law/ Securities Law and admitted to practice in Botswana.
The applicant should at least have a minimum of at least ten (10) years of experience in Corporate Law, including flotation, mergers and acquisitions and financial restructuring.
