Sesiro Insurance Company (Pty) Limited (“Sesiro”), a 100% owned subsidiary of Debswana, invites expressions of interest from suitably-qualified candidates to be considered for appointment to the Board of Directors for a period of 3 years. There is currently one vacancy to be filled for an Independent (Non-Executive) Director.

Key Responsibilities of Candidate
The key responsibilities, inter alia, for this role is to:

• Provide Strategic direction

As an ‘outsider,’ the non-executive director may have a clearer or wider view of external factors affecting the company and its business environment than the executive directors. Therefore, normal role of the candidate in strategy formation is to provide a creative and informed contribution and to act as a constructive critic in looking at the objectives and plans devised by the Executive Management Team.

• Monitor Performance

The Non-executive director shall take responsibility for monitoring the performance of executive management, especially with regard to the progress made towards achieving the determined company strategy and objectives.

• Communication

The company’s and board’s effectiveness can benefit from outside contacts and opinions. An important function for the non-executive director, therefore, is to help connect the business and board with networks of potentially useful people and organisations. In some cases, the non-executive director will be called upon to represent the company externally.

• Risk

The Non-executive director is required to satisfy himself/herself on the integrity of financial information and that financial controls and systems of risk management are robust and defensible.

The overarching function of the candidate will be to focus on board matters and not stray into ‘executive direction,’ thus providing an independent view of the company that is removed from day-to-day running. The candidate will thus be appointed to bring to the board: independence, impartiality, wide experience, special knowledge and personal qualities.

The candidate will be required to regularly attend Meetings (a minimum of 3 Board Meetings and/or 3 Audit Committee Meetings a year).

Eligibility of Candidate

The candidate should be a high calibre individual and a distinguished person in his/her defined area of professional competence, with an understanding of the functions and operations (mandate) of insurance companies in Botswana and internationally. The candidate should have the ability to understand strategic issues, be clear about and accept the underlying legal duties, liabilities and responsibilities of a Director, plus a sound knowledge of corporate governance; as well as sufficient time and commitment to fulfill the role. Candidates should be well vested in risk and insurance issues.

Candidates should have relevant experience, expertise and professional background in any of the following areas:

Board Tenure
